Wavely Terms of Service Effective: July 30, 2026 · Contact: wavelyadmin@gmail.com Privacy Policy: /functions/v1/privacy Wavely is a mobile app where music producers share and discover short original audio loops ("Waves"). These Terms are a binding agreement between you and Wavely. By creating an account or using the app, you agree to them. If you don't agree, don't use Wavely. 1. ELIGIBILITY You must be at least 13 years old to use Wavely. If you are under the age of majority where you live, you may only use Wavely with the involvement of a parent or guardian. You must not use Wavely if you have previously been terminated for a violation of these Terms. 2. YOUR ACCOUNT You are responsible for the accuracy of your account information, for keeping your password secure, and for everything that happens under your account. Tell us promptly at wavelyadmin@gmail.com if you believe your account has been compromised. You may delete your account at any time in Settings > Delete account. 3. ZERO TOLERANCE FOR OBJECTIONABLE CONTENT AND ABUSE Wavely has zero tolerance for objectionable content and abusive behavior. You agree not to upload, post, or send anything that: - is unlawful, or sexually explicit, or sexualizes minors in any way; - is hateful, harassing, threatening, or promotes violence or self-harm against any person or group; - infringes anyone's copyright, trademark, or other rights, or contains uncleared samples; - is spam, a scam, malware, or an attempt to manipulate rankings, counts, or search results; - impersonates another person or misrepresents your affiliation with anyone. You also agree not to abuse the service itself: no scraping, no automated access outside the app, no reverse engineering, no attempts to bypass upload or download limits, rate limits, moderation, or any security control. You can report any Wave, comment, or profile from the "..." menu in the app, and block any user from their profile. We review reports and act on violations. Content that violates these rules is removed and the responsible account is suspended or terminated. 4. YOUR CONTENT, AND THE RIGHTS YOU GRANT You keep ownership of everything you upload. By uploading a Wave you confirm that you own or control the loop and everything in it, that it contains no uncleared samples, and that you have the right to grant the permissions below. To other producers: when you publish a Wave, you grant every other Wavely user a worldwide, non-exclusive, royalty-free, perpetual and irrevocable right to download that Wave and use it in their own music, including commercially released music, without further permission, payment, or credit to you. This permission survives deletion — if someone downloaded your Wave before you removed it, they keep the right to use what they already downloaded. You may turn downloads off for an individual Wave when you publish it, which prevents new downloads but does not affect copies already taken. To Wavely: you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transcode, and display your content solely to operate and promote the service. Deleting a Wave or your account removes your content from Wavely, subject to the survival rule above and to records we must keep for legal, security, or anti-abuse reasons. 5. DOWNLOADS: CLEARANCE IS YOUR RESPONSIBILITY A loop you download from Wavely may be used anywhere, including in commercially released music. You are solely responsible for any clearance, licensing, publishing splits, or credits needed to release music you make with it. Wavely clears nothing and mediates nothing. We are a neutral platform: we do not verify ownership of uploads, we do not broker splits, and we are not a party to any agreement between you and another producer. Download limits depend on your subscription tier and reset on a rolling weekly basis. 6. COPYRIGHT COMPLAINTS If you believe content on Wavely infringes your copyright, email wavelyadmin@gmail.com with: the work you say is infringed, the Wave or profile you're reporting (a link or handle), your contact details, a statement that you believe in good faith the use is not authorized, a statement that your notice is accurate, and your physical or electronic signature. We remove infringing content and terminate repeat infringers. If you believe your content was removed in error, reply to us with an explanation and we will review it. 7. SUBSCRIPTIONS AND PAYMENTS Wavely is free to use with limits. Paid tiers raise your weekly upload and download limits. Subscriptions are purchased on the web, not through Apple, and are processed by Stripe — your card details go directly to Stripe and never touch Wavely's servers. Subscriptions renew automatically for the period you selected until you cancel. You can cancel at any time from the billing portal; cancellation stops the next renewal and you keep your tier until the end of the period you already paid for. Except where required by law, payments are non-refundable. Prices may change, and we will tell you before a change affects a renewal. If a payment fails, your tier may be reduced to the free tier. 8. SUSPENSION AND TERMINATION We may suspend or terminate your account, remove content, or restrict features if you violate these Terms, if required by law, or to protect other users or the service. Serious violations — particularly anything involving minors, or repeated infringement — result in immediate termination. You may stop using Wavely and delete your account at any time. 9. SERVICE CHANGES AND AVAILABILITY Wavely is under active development. We may add, change, or remove features, and we do not guarantee uninterrupted or error-free service. We may impose or adjust limits (uploads, downloads, file sizes, rate limits) to keep the service running. 10. DISCLAIMERS Wavely is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that content on Wavely is accurate, original, cleared, or free of third-party rights. You use Wavely at your own risk. 11. LIMITATION OF LIABILITY To the maximum extent permitted by law, Wavely will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the service. To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$50. Some jurisdictions do not allow certain limitations, in which case the limitations apply only to the extent permitted. 12. INDEMNIFICATION You agree to indemnify and hold Wavely harmless from claims, damages, and costs (including reasonable legal fees) arising from content you upload or download, your use of the service, or your violation of these Terms or of anyone's rights. 13. CHANGES TO THESE TERMS We may update these Terms. We'll update the effective date above, and material changes will be announced in the app and may require you to accept the new version before continuing. 14. GENERAL These Terms, together with the Privacy Policy, are the whole agreement between you and Wavely about the service. If any provision is unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not transfer these Terms; we may transfer them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules, and you and Wavely agree to the exclusive jurisdiction of the state and federal courts located in California, except where your local consumer law gives you the right to bring a claim elsewhere. 15.
